TERMS OF SERVICE

Effective: September 1, 2016

Leapr (“Leapr”, “Leapr Ltd.”, “we” or “us”) is a global popularity index that uses proprietary algorithms to calculate users’ social popularity ranks against various peer groups and geographies based on information drawn from their social networking accounts.

Leapr was conceived to create a brand new metric to measure individuals’ popularity across key social networks by recording, comparing, and monitoring primarily public, strategic data points. We are a purely passive brand with no interest in using or exploiting user data in any other way than required for the calculation and presentation of our indices. Leapr allows you (“user”, “users”, or “you”) to view your popularity rank against i) friends ii) users in your network, iii) users in your city, iv) users in your country, and v) global users. Additionally, you may view statistics and trends that pertain to your rank as well as share your rank and invite others to join Leapr. For this we require our users to abide by our Terms of Service (“Terms”) as detailed in this document.

These Terms cover the Leapr website ("Site") and Leapr application (“App”) which may collectively be referred to as “Services”. By using our Services you are accepting these Terms so please review them carefully before using our Services. If you do not agree with our Terms then please do not use our Services. Your right to access and use our Services is conditional upon your acceptance of and compliance with these Terms, so if you do not consent and adhere to these Terms, you have no right to access or use our Services.

1. ACCEPTANCE; CHANGES TO THE TERMS

By accessing or using our Services, you are accepting these Terms, expressing your consent to all the provisions in these Terms, and agreeing to be bound by and comply with all the terms and conditions of these Terms. We reserve the right to change these Terms at any time at our sole discretion. You may be notified of such changes by a notice on our Site or via our mobile app. The new Terms will become effective immediately after such a notice is posted on our site. Your continued access to, or use of the Services after the new Terms become effective will constitute acceptance of the new Terms.

We reserve the right to terminate (or suspend) your account and/or your right to access and use the Services at any time at our sole discretion, with or without notice to you. In particular, we may choose to do so if you are not in compliance with these Terms.

If your rights regarding access to and use of the Services are suspended or terminated, you agree to make no further attempt to access or use the Services during such suspension or after termination. You may terminate your use of the Services at any time by deleting the Leapr app. In case of a termination, whether by us or by you, the provisions regarding Intellectual Property Rights; Privacy; Our Compliance with the Law; Indemnification, Warranties and Liability; and General Terms and Conditions and shall survive such termination.

2. OUR SERVICES

Our Services operate from London, United Kingdom, and are accessible to users throughout the world. However, not all Services or features provided or offered as part of our Services may be available to all persons or in all geographic locations. We reserve the right to limit, in our sole discretion, the provision and quantity of any feature or part of our Services to any person or geographic area with or without notice.

We also reserve the right to modify, suspend, interrupt or terminate our Services or any part thereof, at any time and for any reason, and with or without notice to you. You agree that we will not be liable to you or any third party for any such modification, suspension, interruption or termination of the Services or any part thereof.

Our Services rely on information gathered from third party service providers that have independent policies regarding the permitted minimum age requirement of their users. In line with such policies, you are by proxy not permitted to use our Services if you are not at least thirteen (13) years of age and fully adhere to all the requirements set forth by the social networks in which you participate and connect to Leapr. By accessing or using our Services you affirm that you are thirteen (13) years of age or older and that you have not been previously banned from using our Services.


Leapr is not responsible, nor may be held liable for any consequential damages of any kind arising out of, or in connection with users who do not adhere to the respective terms, policies, user guidelines, or any such agreements and contracts set forth by the Social Networks that they connect to their Leapr accounts. The onus is on the respective service providers to enforce their terms, policies, and guidelines and any breaches that may occur as a result of abuse and misconduct from their users.

You understand that when you use our Services, your social popularity will be calculated and you will be ranked against others in various peer groups and geographical regions. Furthermore, you understand that you may consider this rank to be objectionable, and we are not responsible for the accuracy, appropriateness or usefulness of the results provided through our Services. We therefore expressly disclaim any and all liability in connection therewith and you hereby waive any legal or equitable rights or remedies you have or may have against us with respect thereto.

3. CONDITIONAL RIGHT TO ACCESS AND USE

Conditional upon your full compliance with these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right and license to access and use our Services for your personal use. If you fail to comply with any of the provisions of these Terms, then you are no longer entitled to access and use our Services and will be in violation of our proprietary rights therein. Except as expressly provided herein, we do not grant you any express or implied rights in or to our Services or to any content or intellectual property rights provided through our Services.

4. WHAT YOU CANNOT DO

Your conditional right to access and use our Services is limited in that you are, except as expressly stated otherwise in these Terms, not permitted to:

  1. Use our Services for any commercial purpose, such as, without limitation, sell, rent, lease, loan, assign, license, sublicense or in any other way, in whole or in part, exploit any of the content provided through our Services;
  2. Interfere with or disrupt the Services or servers or networks connected to the Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Services;
  3. Download, copy, reproduce, republish, frame, transmit, distribute, publicly display, or create derivative works based on any content provided on our Services;
  4. Solicit any activity, unlawful or otherwise, that infringes our or any third party’s rights;
  5. Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
  6. Access our Services by means of robots, data mining or similar data-gathering and extraction tools or methods;
  7. Access our Services in order to build a competitive product or service or to analyze or reverse engineer any part of our Services;
  8. Impose an unreasonable burden on the network or infrastructure on which our Services are provided or in any other way interfere with the operation of our Services or with any other users’ use of our Services;
  9. Attempt to access or obtain any materials or information through any means not intentionally made available or provided for through the Services;
  10. Remove, circumvent, interfere with or otherwise attempt to breach the security-related features of our Services or in any other way attempt to gain unauthorized access to our Services or any part thereof; or
  11. Use our Services for any purpose that is beyond the scope of our Services’ reasonably expected use, is illegal, or is prohibited by these Terms.

5. USER CONDUCT

Our Guidelines (detailed in section 22 of this document) provide important information about permissible User conduct. While we cannot guarantee that you will not encounter objectionable content on our Services, our Guidelines are an important part of making our Services a safe and informative environment that all users can enjoy. Accordingly, you must observe our Guidelines, as they constitute an integral part of these Terms.

6. USER PROFILE AND USER DATA

Your user profile (“Profile”) is a non-public profile populated using information (“User Data”) gathered from the social networking accounts that you link at the time of sign-up, or thereafter. You affirm that all linked accounts are assigned to, and belong to yourself (e.g. the individual and owner of the Facebook account used to sign up with Leapr). Any profiles that we suspect are using a combination of accounts owned by different individuals may be suspended or terminated.

You are responsible for all activity that occurs through the use of your account and User Data submitted to Leapr and you may be held responsible for any losses incurred by us or any other user of our Services, or members of the wider community and public that are in any way related to and affected by your failure to maintain the necessary accuracy and protection of your account and the social networking account linked thereto.

By submitting User Data to our Services, you affirm, represent and warrant that you are the owner of or have the necessary licenses, rights, consents, and permissions to submit such User Data to our Services and to grant us the rights and licenses as set forth hereinafter. You also represent that your User Data does not and will not infringe, violate or misappropriate any third-party rights, including any patent, trademark, trade secret, copyright, right of publicity, or any other intellectual property or proprietary right.

7. SOCIAL NETWORKS

To join Leapr you must sign up and login with Facebook; this streamlines the sign up process by prepopulating your Profile with all the necessary data to allow you to proceed. Furthermore, it forms the basis for our grouping mechanism and provides us with vital data required to calculate your rank.

On first launch, during the sign-up process, you are prompted to connect Twitter and Instagram. These networks are not mandatory, however they form an integral part of the ranking process and will help provide a more accurate, and often more favorable set of ranks across your groups. If you do not connect all networks upon sign-up you may do this at any time via the settings menu.

8. RANKS AND RESULTS

Upon registration you are presented with your ranks across your peer groups and geographies. These ranks are private and cannot be viewed by others. Furthermore, we do not display the total number of users in any of your groups. Leapr is a product for users to gain measurable representations of their own popularity and influence, and not that of others. However, should you top the Friends or Network groups, other users in the group will receive a push notification that you have taken the lead.

9. OUR ALGORITHMS AND RANKING SYSTEM

As defined by the Oxford Dictionary, ‘popularity’ is “the state or condition of being liked, admired, or supported by many people”. On this basis we have created our algorithms to measure popularity using data points that are relevant to this definition.

Your Leapr rank is purely an indication of your social popularity as calculated using our formulae, and in some cases you may consider this rank offensive or objectionable. Your ranks are based on your online social activity and may not be a true representation of your popularity offline and in real life. While the Leapr ranking system may be accurate and appropriate for many users, there is a likelihood that it may not be for others. We are not responsible, nor may be held liable for the appropriateness, accuracy or usefulness of the ranks with which you are assigned.

10. PEER GROUPS AND GEOGRAPHIES

Upon registration, you are automatically entered into the Peer Groups and Geographies that are relevant to you. These ranking groups are based on the information gathered from your Facebook profile and include; i) Friends: all of your Facebook friends who also use Leapr. ii) Network: all of the users in the school/college/university/workplace (listed as your current, or most recent network) who also use Leapr. iii) City: all the users in your current city who also use Leapr. iv) Country: all the users in your country who also use Leapr. v) Global: all Leapr users globally.

These groups always reflect current, up-to-date information as defined on your Facebook profile, thus if you change or update any of the information on your Facebook profile, it will be updated on Leapr upon your next login.

11. LEAPR INTELLECTUAL PROPERTY

Unless otherwise stated, all materials on our Services, including, but not limited to, text, graphics, images, illustrations, designs, icons, photographs, video clips, and any other content or writing that appear as part of our Services, are protected by copyright, trademark, trade dress, patent and/or other intellectual property and proprietary rights (collectively "Leapr Intellectual Property"), and any unauthorized use of such material may violate the Leapr Intellectual Property. The Leapr Intellectual Property, as well as any third party trademarks, logos and service marks contained in our Services, may not be used in connection with any product or service in any manner that is likely to cause confusion, and may not be copied, imitated, or used, in whole or in part, without our or the third party owner’s prior written permission.

12. COPYRIGHT INFRINGEMENT

We do not permit copyright infringing activities and infringement of other intellectual property rights on our Services. It is our policy to respond to notices of alleged copyright infringement and we have a strict policy of terminating the accounts of users who are deemed to be repeat copyright-infringers.

13. FALSE ACCOUNTS

We do not permit the use or creation of false accounts used to obtain Leapr rankings that do not pertain to the rightful owner. Accounts that are reported, or suspected to be false will be investigated and may be suspended or terminated if found to be in violation of our Terms.

14. FAKE USER DATA

This relates to fake and falsified User Data as collected through your linked social networking accounts (fake followers on Twitter and Instagram etc.). We rely on the accuracy of User Data as collected from the social networks that you link to your Leapr account. These Social Networks have robust systems and purge initiatives in place to ensure any such data is relevant and accurate, thus is it not our responsibility, nor may we be held liable for any repercussions that may result from submitting fake and falsified User Data. However, any accounts suspected of using fake user data may be investigated, and appropriate action taken.

15. COMPLIANCE WITH LAW

Your Obligations: you may only use our Services in compliance with all applicable local, national and international laws, including, without limitation, laws governing intellectual property and other proprietary rights, data protection and privacy as well as relevant export laws and regulations. You are not permitted to access or use our Services in any jurisdiction that does not give effect to these Terms. If you access or use our Services from a location outside the United Kingdom, you are solely responsible for complying with applicable local laws and regulations of that jurisdiction.

Our Obligations: Just as we require you to abide by the law, we must do so as well. This means that we may be required to disclose information that could be used to identify you or that we may choose to do so if we deem it necessary to do so.

We may monitor User Content and where deemed appropriate take proactive steps including, without limitation, notification to appropriate authorities. Thus, if we learn about illegal activity or imminent threats, we may inform law enforcement agencies. You hereby expressly acknowledge and agree to such monitoring and that we may disclose information and data that might lead to your identification if we, at our sole discretion, deem it appropriate to protect you or others from harm.

16. INDEMNIFICATION

You agree to defend, indemnify and hold harmless Leapr, its officers, members, predecessors, successors and assigns, directors, employees, agents, subsidiaries, affiliates, licensors and suppliers from and against any and all claims, charges, complaints, damages, losses, liabilities, costs and expenses (including legal fees) due to, arising out of or relating in any way to your use of our Services.

17. WARRANTY DISCLAIMER

OUR SERVICES AND ANY CONTENT, MATERIALS AND INFORMATIONS MADE AVAILABLE THROUGH OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE HEREBY SPECIFICALLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS WITH RESPECT TO OUR SERVICES AND CONTENT MADE AVAILABLE THROUGH OUR SERVICES, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, NON-INFRINGEMENT OF THIRD PARTY RIGHTS, AND ANY WARRANTIES ARISING OUT OF THE COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT AGAINST INTERFERENCE WITH YOUR ENJOYMENT OF OUR SERVICES, THAT THE FUNCTIONS CONTAINED IN OUR SERVICES OR PERFORMED BY OUR SERVICES WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF OUR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ANY PART OF OUR SERVICES WILL CONTINUE TO BE MADE AVAILABLE, THAT DEFECTS IN OUR SERVICES WILL BE CORRECTED, OR THAT OUR SERVICES WILL BE COMPATIBLE OR WORK WITH ANY THIRD PARTY SOFTWARE, APPLICATIONS OR THIRD PARTY SERVICES. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY US, OR ANY APPROVED REPRESENTATIVE, SHALL CREATE A WARRANTY. ALL INFORMATION PROVIDED ON OR THROUGH OUR SERVICES IS SUBJECT TO CHANGE WITHOUT NOTICE. WE CANNOT AND DO NOT ENSURE OR WARRANT THAT ANYTHING YOU DOWNLOAD FROM OUR SERVICES WILL NOT CONTAIN VIRUSES OR OTHER DESTRUCTIVE ELEMENTS.

In such jurisdictions that do not allow for the exclusion of implied warranties or limitations on statutory rights of a consumer, the above exclusions and limitations will be valid to the fullest extent allowed by the applicable law.

18. LIMITATION OF LIABILITY

EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT WILL WE OR ANY OF OUR AFFILIATED ENTITIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH (1) THE USE OF, OR INABILITY TO USE, OUR SERVICES; (2) ANY CONTENT MADE AVAILABLE THROUGH OUR SERVICES; OR (3) THE CONDUCT OF OTHER USERS OF OUR SERVICES, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF OR ARE AWARE OF THE POSSIBILITY OF SUCH DAMAGES. IF, NOTWITHSTANDING THESE TERMS, WE ARE FOUND LIABLE TO YOU FOR ANY DAMAGE OR LOSS WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH YOUR USE OF OUR SERVICES OR ANY CONTENT MADE AVAILABLE THROUGH OUR SERVICES, THEN OUR LIABILITY SHALL IN NO EVENT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR THE PROVISION OF OUR SERVICES DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM OR ONE (1) POUND STERLING, WHICHEVER IS GREATER.

In such jurisdictions that do not allow for the limitation of liability set forth herein, our liability will be limited to the fullest extent allowed by applicable law.

19. MISCELLANEOUS

These Terms are the complete and exclusive agreement between you, the User, and us, Leapr, with respect to the subject matter hereof, superseding and replacing any and all prior and contemporaneous agreements, communications, and understandings (both written and oral) regarding such subject matter. If any provision of these Terms is deemed invalid or for any reason unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect. If Leapr chooses not to enforce strict performance of any right or provision under these Terms, this shall not be construed as a waiver of such right or provision. You may not transfer or assign these Terms, or any rights and licenses granted hereunder, but Leapr may do so without restriction. Any attempted transfer or assignment in violation hereof will be null and void.

20. FEEDBACK

We welcome your questions, comments and concerns. If you choose to submit such feedback to us, you agree that we are free to use this feedback in any way we see fit, without any restriction or compensation to you. Please send any questions, comments, concerns or feedback via the Contact section of our app, which can be found in the settings menu.

21. INTENDED USE

Leapr was conceived, and is intended for use by professionals, personalities and brands that are synonymous with fame and popularity to gain a measurable representation of their status and influence. However, fame and popularity are subjective, and we are not in a position to make any such rulings and thus limit the use of our product exclusively to any subset of users. As such, our products and Services are available to use by all users who meet our sign-up criteria and respect our Terms.

Users who sign up and use our Services must acknowledge and agree to the notion that our Services are not intended to be useful and appropriate for all users, and in some cases may return displeasing results. We are not responsible for our users’ satisfaction with results, and any complaints pertaining to disappointing or distressing results will not be entertained or responded to.

Leapr rankings are derived from the information collected through your social networking accounts, which provide purely digital data points to measure. In many cases this is likely to not be a true and accurate representation of your character, status and influence in real life. If you are unhappy with the results yielded through the use of our Services then you should view our Services from a novelty perspective, and not take the results too seriously.

22. GUIDELINES

The intent of this section is to clarify what we consider to be acceptable use of Leapr’s Services, which include the use of our site and mobile app. Failure to adhere to our guidelines constitutes a breach of our Terms.

  1. Spam accounts
    Users that do not connect genuine accounts, use deceptive means to generate revenue or traffic, or whose primary purpose is affiliate marketing, will be suspended or have their account terminated.
  2. Identity Theft and Privacy
    Users that misleadingly appropriate the identity of another person or brand are not permitted. Representing a person or brand which you are not entitled to, constitutes a breach of our Terms and may warrant a copyright infringement of that person or brand’s intellectual property.
  3. Responsible Use
    Use our Services responsibly and understand that the Leapr Ranking system is a professional popularity measurement tool for some, and a novelty for others. Do not bully or cause harm to others on the basis of their rank. Leapr is not for everyone and users’ ranks are often not a true representation of their offline personality.
  4. Mass Registration and Automation
    Accounts that are registered automatically or systematically will be removed and access will be permanently suspended.
  5. Intellectual Property Infringement
    Respect the Intellectual Property of others. Do not open accounts with someone else’s Intellectual Property if you are not authorized to do so.
  6. Privacy Violations
    Don’t use Leapr to deceptively obtain personal information. Don’t post content that violates anyone’s privacy, including personally identifying any confidential information such as credit card numbers, social security numbers, unlisted contact information, or any other type of information intended to be private.
  7. Unlawful Uses and Content
    Don’t conduct illegal behavior, including fraud, phishing, or illegally inciting violence. We take this very seriously and will cooperate with authorities to the fullest extent should this be necessary.

23. ACCOUNT TERMINATION

Failure to adhere to our Terms and Guidelines may result in a suspension or ban from using Leapr Services. We reserve the right to suspend accounts or remove content, without notice, for any reason, but particularly to protect our Services, infrastructure, users, community, or wider public. We reserve the right to enforce, or not enforce, these policies at our sole discretion, and these policies don’t create a duty or contractual obligation for us to act in any particular manner. We also reserve the right to amend these policies.
